Digital Refresh Ltd
Last updated: 12 October 2026
These Terms & Conditions explain how Digital Refresh Ltd (“we”, “us” or “our”) provides website design, hosting, maintenance, search engine optimisation (SEO), digital marketing and related services to business customers (“the Client” or “you”).
We aim to keep our arrangements clear, so you know what is included, what it costs and what to expect when working with us. These terms, together with your accepted quotation or proposal, form our agreement. By accepting a quotation, paying an invoice or instructing us to begin work, you agree to these terms.
1. Quotations and Agreements
1.1 Before starting work, we will provide a quotation, proposal or written agreement outlining the services included and their associated costs.
1.2 Only the services and deliverables specifically included in the agreed quotation or package are covered by the quoted price.
1.3 Additional work outside the agreed scope will be quoted separately or charged at our agreed hourly rate, with your approval before it begins.
1.4 Changes to the scope of work may affect the price or completion timescale. We will explain these changes before proceeding.
1.5 If a separate written agreement or accepted proposal sets out different terms for a particular service, those expressly agreed terms will take priority for that service.
2. Website Design and Development
2.1 Digital Refresh Ltd specialises in designing and developing websites for trade businesses across the UK.
2.2 The number of pages, service pages, location pages and other features included will depend on the website package or quotation selected.
2.3 Website packages may include professionally written content, on-page SEO, contact forms, galleries and other functionality, as detailed in the agreed quotation.
2.4 We will give you an opportunity to review the website before launch. You are responsible for checking the accuracy of your business details, services, contact information, images and other content.
2.5 We ask you to provide feedback and requested amendments within seven days of receiving the website for review, unless another period has been agreed.
2.6 Reasonable amendments within the original project scope are included. Significant changes, extra pages, new functionality or work outside the agreed brief may incur additional charges.
2.7 The website will be published once the agreed work is complete, any required approval has been received and the final project payment has cleared.
3. Project Timescales and Client Responsibilities
3.1 We will provide an estimated completion timescale and make reasonable efforts to meet agreed deadlines.
3.2 You agree to provide the information, images, business details, access credentials and approvals reasonably needed to complete the work.
3.3 Delays in receiving information or approval may affect the project schedule. Where this happens, we may need to rearrange the work around other commitments.
3.4 We cannot guarantee the original completion date where delays arise from missing information, third-party services, technical issues or circumstances outside our reasonable control. We will keep you informed of material changes.
3.5 You are responsible for ensuring that information supplied about your business is accurate, including qualifications, accreditations, insurance, guarantees, services and claims about your work.
4. Growth Plans, SEO and Digital Marketing
4.1 Our Growth Plans and ongoing marketing services are designed to help trade businesses improve their online visibility, build trust and attract more enquiries.
4.2 Depending on the agreed package, services may include SEO, website content, blog articles, service pages, location pages, case studies, directory submissions, link building, social media content and other marketing activities.
4.3 The services, quantities, frequency and fees included in each Growth Plan will be set out in the agreed package or quotation.
4.4 All Growth Plans have a minimum commitment of three months and are billed monthly in advance.
4.5 You may cancel a Growth Plan by giving at least 30 days’ written notice. Notice can be given during the initial three months, but the cancellation cannot take effect before the three-month minimum commitment has ended.
4.6 All payments must remain up to date throughout the agreement. Charges due for the minimum commitment and services provided up to the effective cancellation date remain payable.
4.7 SEO and marketing results depend on a range of factors. We will use reasonable care and skill, but cannot guarantee specific Google rankings, website traffic, enquiry numbers, sales or revenue.
4.8 Search engines and third-party platforms control their own algorithms, indexing, listings and policies. We cannot guarantee that every page, directory submission or backlink will be indexed, accepted or retained.
4.9 Where a Growth Plan requires project photographs, business information, customer details or other materials, you agree to provide them within a reasonable timeframe.
4.10 If the information needed for a particular activity is unavailable, we may use our discretion to substitute another suitable marketing activity, such as an additional blog article, service page, location page or other relevant work. We will let you know what has been substituted.
4.11 Work outside the agreed Growth Plan will be quoted separately.
5. Google Ads and Paid Advertising
5.1 Where agreed, we may provide paid advertising setup, management, optimisation and reporting.
5.2 Advertising spend paid to platforms such as Google is separate from our management fees unless specifically stated otherwise.
5.3 You are responsible for funding your advertising account and agreed advertising budget.
5.4 Advertising results can be affected by competition, budget, search demand, platform policies and other factors outside our control. We cannot guarantee particular numbers of clicks, enquiries or conversions.
5.5 Wherever practical, advertising accounts will be held in your name, with Digital Refresh Ltd granted suitable management access.
6. Domain Names and Third-Party Services
6.1 We may register, renew or manage domain names on your behalf.
6.2 Domain registration and renewal charges are payable by you unless specifically included in your package.
6.3 Domain names registered for you belong to you, subject to the registrar’s terms and successful payment of the relevant fees.
6.4 Failure to renew a domain may result in website or email disruption and potentially the loss of the domain.
6.5 If you move your domain to another provider, we will provide the relevant transfer or authorisation information reasonably available to us. Your new provider will be responsible for managing the transfer.
6.6 Third-party software, plugins, subscriptions and platforms may have separate licence fees, terms and renewal costs. We will identify material additional costs where applicable.
7. Website Hosting, Security and Backups
7.1 Our standard hosting and maintenance package is £39 + VAT per month, unless a different price has been agreed.
7.2 The standard package includes:
- Website hosting
- Routine WordPress, theme and plugin updates
- Website security maintenance
- Website backups
7.3 Hosting and maintenance fees are billed monthly in advance.
7.4 There is no minimum commitment for the standard hosting and maintenance package. You may cancel it at any time and move your website to another provider.
7.5 Routine hosting and maintenance do not include writing content, adding pages, publishing blog posts, making design changes or adding new functionality. These services are charged separately or may be covered by an agreed website updates package.
7.6 Additional website work is charged at £60 + VAT per hour or at an individually agreed fixed price.
7.7 We take reasonable steps to maintain reliable hosting and security, but cannot guarantee uninterrupted availability or that a website will be completely free from faults or security threats.
7.8 We cannot accept responsibility for faults directly caused by changes made by you or another provider. Any investigation or remedial work required because of such changes may be chargeable.
7.9 Email hosting is not included for new customers. We can assist with setting up business email through Google Workspace, with any setup charges and third-party subscriptions agreed separately.
7.10 Existing customers with previously agreed hosting, email or maintenance arrangements, including inclusive amendment allowances, will continue under those arrangements unless a change is agreed in writing.
7.11 If you cancel hosting, you are responsible for arranging for your new provider to transfer the website before the agreed hosting end date. We do not provide website migration services; the backup option is explained in Section 10.
8. Optional Website Updates and Support
8.1 Customers may add a website updates package for £60 + VAT per month, in addition to their hosting and maintenance fee.
8.2 This package includes up to 1.5 hours of website updates each month.
8.3 The allowance is primarily for routine tasks such as uploading and formatting supplied blog posts, adding case studies using supplied material, changing images, editing existing text and making small website amendments.
8.4 Writing new blog articles or case studies, creating new pages, substantial redesigns and developing additional functionality are not included unless separately agreed and quoted.
8.5 Unused time can be carried forward for one month only. The maximum available allowance in any one month is three hours, including the current month’s 1.5 hours and up to 1.5 unused hours from the previous month.
8.6 Unused time expires after the following month. It has no cash value and cannot be exchanged for a refund or transferred to another customer.
8.7 Work exceeding the available allowance is charged at £60 + VAT per hour or quoted separately, subject to your approval.
8.8 This optional package can be cancelled without a minimum commitment, subject to payment for services already provided.
9. Payments and Invoicing
9.1 All prices are quoted excluding VAT unless specifically stated otherwise.
9.2 Website design projects require a 50% deposit before work begins. The remaining 50% is payable on completion, before the website goes live.
9.3 Alternative payment stages for larger projects may be agreed in writing.
9.4 Growth Plans, hosting, maintenance and other ongoing services are billed monthly in advance.
9.5 Payments are accepted by Direct Debit or bank transfer, as agreed when the service is arranged.
9.6 Invoices must be paid by the due date stated on the invoice.
9.7 If payment becomes overdue, we may pause work or suspend affected services after providing reasonable written notice and an opportunity to resolve the outstanding amount.
9.8 Where legally applicable, we reserve the right to claim statutory late-payment interest and recovery costs.
9.9 Additional work may require payment in advance or on the terms agreed in the relevant quotation.
10. Ownership of Websites, Content and Design
10.1 We believe the bespoke work created for your business should belong to your business.
10.2 Once the relevant work has been paid for in full and all payments due on your account are up to date, you own the original website designs, written content, graphics, case studies and other bespoke materials created specifically for you by Digital Refresh Ltd, subject to the third-party exclusions below.
10.3 You may continue to use, edit or move your completed and paid-for website and original materials to another provider.
10.4 We will make your completed original content, graphics and other applicable bespoke assets available in a shared Dropbox or Google Drive folder that you can access. Access to these materials does not carry an additional handover charge.
10.5 If you require a complete technical website backup, including the website files and database prepared for your new provider, we charge £60 + VAT for preparing and supplying it. This is a charge for the backup preparation service, not a fee for ownership of your website.
10.6 Digital Refresh Ltd does not carry out website migrations. You or your new provider are responsible for transferring the website, importing the backup, configuring hosting and checking that the website works correctly after the move.
10.7 Third-party themes, plugins, fonts, stock images, software, subscriptions and licensed assets remain subject to their respective licences and ownership conditions. Ownership of our bespoke work does not transfer ownership of these third-party products.
10.8 You retain ownership of logos, photographs, business information and other materials that you supplied to us.
10.9 We may feature completed work in our portfolio or marketing materials with your permission.
11. Print and Additional Design Services
11.1 We may offer additional design or print services, such as business cards, leaflets, brochures, signage and other promotional materials.
11.2 These services are quoted separately unless specifically included in an agreed package.
11.3 You must approve the final artwork proof in writing before we send an order to print.
11.4 Once artwork has been approved and sent to print, changes may no longer be possible. Additional costs arising from changes requested after approval may be payable by you.
11.5 Printing and delivery times are estimates and may depend on third-party suppliers and delivery companies.
11.6 If printed goods are damaged, defective or materially different from the approved specification, please contact us promptly so we can investigate and arrange an appropriate remedy.
11.7 Original artwork created specifically for you will be owned by you following full payment, subject to any third-party licensing restrictions.
12. Copyright and Client-Supplied Materials
12.1 You confirm that you own, or have permission to use, images, logos, text, videos and other materials you supply to us.
12.2 You grant us permission to use those materials for the purpose of delivering the agreed services.
12.3 You are responsible for ensuring that supplied materials do not infringe third-party copyright, trademarks or other rights.
12.4 Materials sourced from third parties on your behalf remain subject to the applicable licensing conditions.
12.5 We may ask for evidence of permission to use particular materials where reasonably necessary.
13. Cancellation and Termination
Website Projects and One-Off Work
13.1 You may cancel a website project or other one-off service at any time by giving written notice.
13.2 If no work has started, we will refund the deposit, less any non-recoverable third-party costs that were agreed and already incurred specifically for your project.
13.3 If work has started, we will calculate the time spent on the project up to cancellation at £60 + VAT per hour, plus any agreed, non-recoverable third-party costs.
13.4 We will provide a breakdown of the work completed. If the amount already paid is greater than the charge for completed work and agreed costs, we will refund the difference. If completed work and agreed costs exceed the amount paid, the balance will be invoiced. You will not be charged for work that has not been carried out.
Growth Plans
13.5 Growth Plans have a minimum commitment of three months and require at least 30 days’ written notice to cancel. Notice may be given during the minimum period, but cancellation cannot take effect before the end of that period.
13.6 Charges due under the minimum commitment and for services provided up to the effective cancellation date remain payable.
Hosting and Website Updates
13.7 Standard hosting, maintenance and optional website updates packages may be cancelled at any time without a minimum commitment.
13.8 You are responsible for arranging any website transfer through your new provider before hosting ends. We do not provide migration services. A technical backup can be supplied as described in Section 10.
Termination by Digital Refresh Ltd
13.9 We may terminate an agreement for persistent non-payment, serious breach of these terms, unlawful use of services or repeated failure to provide information necessary to carry out agreed work.
13.10 Except where immediate action is reasonably necessary, we will provide written notice and a reasonable opportunity to resolve the issue before termination.
13.11 Termination does not remove your rights to completed and paid-for work under Section 10. Outstanding fees for work completed or services already provided remain payable.
14. Price Changes
14.1 We may review and change the prices of ongoing services, including hosting, maintenance, website updates and Growth Plans.
14.2 We will provide at least 30 days’ written notice before a price increase takes effect.
14.3 A price increase will not change the price of an already accepted fixed-price website project unless additional work or a change of scope is agreed.
14.4 Clients may cancel ongoing services in accordance with the cancellation terms applicable to their package. For a Growth Plan still within its initial three-month minimum commitment, an increase will not take effect before that minimum period ends unless the Client agrees otherwise.
15. Service Limitations and Liability
15.1 We will provide our services with reasonable care and skill.
15.2 Although we aim to create websites and marketing that help businesses attract customers, we cannot guarantee particular commercial results.
15.3 We are not responsible for changes to search engine algorithms, third-party platform policies or other matters outside our reasonable control.
15.4 We will take reasonable steps to investigate and resolve faults relating to services for which we are responsible.
15.5 To the extent permitted by law, we are not liable for indirect or consequential losses arising from the use of our services.
15.6 Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.
16. Confidentiality and Data Protection
16.1 We will treat confidential business information with appropriate care and will disclose it only where necessary to provide agreed services, with permission or where required by law.
16.2 We handle personal information in accordance with applicable UK data protection law, including the UK GDPR and Data Protection Act 2018.
16.3 Information may be shared with suitable service providers involved in delivering hosting, email, marketing or other agreed services, subject to appropriate safeguards.
16.4 Where we process personal data on your behalf, we will agree any additional data processing terms required by law.
16.5 You remain responsible for ensuring that your own website, customer data collection, marketing communications and privacy information comply with applicable legal requirements.
16.6 Further details about how we handle personal information are set out in our separate Privacy Notice.
17. General Terms
17.1 Changes to agreed services or commercial arrangements must be confirmed in writing.
17.2 We may use suitable third-party suppliers or specialist contractors to help deliver agreed services while remaining responsible for the services we have agreed to provide.
17.3 Neither party is responsible for delays caused by events outside its reasonable control, provided reasonable steps are taken to minimise disruption.
17.4 If any part of these terms is found to be unenforceable, the remaining provisions will continue to apply.
17.5 These terms are governed by the laws of England and Wales.
17.6 If a disagreement arises, both parties agree to make reasonable efforts to resolve it through discussion before considering formal proceedings.
